| 1 2 3 4 CONSTITUTION OF THE 5 AMERICAN ASSOCIATION OF DENTAL BOARDS 6 7 8 PREAMBLE 9 10 We, the members of the American Association of Dental Boards, in conformity with the Charter 11 granted September the 10th, 1896, at Washington, D.C., and renewed in 1944, and in order to 12 encourage the highest standards of dental education, and to promote a higher and more uniform 13 standard of qualifications for dental practitioners and uniformity of methods in the conduct, 14 operation and workings of the dental examining boards, and uniformity in the legislation in the 15 several states, do ordain and establish this Constitution and Bylaws, for the government of the 16 American Association of Dental Boards. 17 18 19 CONSTITUTION 20 21 22 Article I - Name 23 24 The name of this organization shall be the American Association of Dental Boards, hereinafter 25 referred to as "the Association" or "this Association." 26 27 28 Article II - Objectives 29 30 The objectives of this Association shall be: 31 32 Section 10. To promote the undergraduate and continuing education of dentists and the 33 auxiliary groups who have as their purpose, optimum dentistry as an aid to the health and 34 welfare of the public. 35 36 Section 20. To assist all Member Agencies in continually improving methods of testing and 37 evaluating candidates for licensure, insuring the level of dental standards will be constantly and 38 uniformly raised. 39 40 Section 30. To encourage further study and discussion of the needs and problems of dental 41 education and licensure. 42 43 44 Section 40. To provide counsel and guidance to Member Agencies in amending, revising, and 45 enforcing the dental practice acts of each state in the interest of the public welfare. 46 47 48 Article III – Dissolution. 49 If this Association shall be dissolved at any time, no part of its funds or property shall be 50 distributed to, or among its members, but, after payment of all indebtedness of the Association, 51 its surplus funds and properties shall be used for dental education and dental research in such 52 manner as the then governing body of the Association may determine. 53 54 55 Article IV - Membership 56 The membership of the Association shall be divided into eleven classes: Member Agencies; 57 Specialty Board Member; Specialty Board Examiners; Active Members; Individual Active 58 Members; Life Members; Affiliate Members; Associate Members; Disabled/Retired Members; 59 Educator Members and Honorary Members. Membership classification shall be as defined in 60 Chapter I of the Bylaws. 61 62 63 Article V - Governance 64 65 Section 10. Legislative Body. The legislative and governing body of this Association shall be 66 the General Assembly, as provided in Chapter III of the Bylaws. 67 68 Section 20. Administrative Body. The administrative body of this Association shall be the 69 Executive Council, referred to as "the Council" or "this Council", as provided in Chapter IV of 70 the Bylaws. 71 72 73 Article VI - Officers 74 75 Section 10. Elected Officers. The elected officers of this Association shall be the President, 76 President-Elect, 1st, 2nd, 3rd Vice-Presidents, Member-at-Large, Administrator Member, and 77 Public Member, each of whom shall be elected as provided in Chapter V of the Bylaws. 78 79 Section 20. Appointed Officers. The appointed officers of this Association shall be the 80 Executive Director and the Editor, both of whom shall be appointed by the Executive Council as 81 provided in Chapter VI of the Bylaws. 82 83 84 Article VII - Central Office 85 86 The registered office of this Association shall be known as the Central Office and shall be 87 located in such city as shall be determined by the Executive Council. Branch offices of this 88 Association may be established in such localities and at such times as are deemed necessary by 89 the Executive Council. 90 91 92 93 Article VIII - Meetings and Quorum 94 95 Section 10. Meetings. The Association shall hold an Annual Meeting and such other meetings 96 as may be designated by the Executive Council. Special meetings may be held as provided in 97 Chapter IV, Section 30, Sub-Section (L) of the Bylaws. 98 99 Section 20. Quorum. Members, with voting privileges, from a majority of the Member 100 Agencies shall constitute a quorum for the transaction of business at any meeting of the 101 Association. 102 103 104 Article IX - Seal 105 106 This Association shall have a seal for the purpose of authenticating official documents of the 107 Association. The seal may be broken, changed, or renewed at the pleasure of the Association. 108 109 110 Article X - Amendments 111 112 113 This Constitution may be amended by a two-thirds vote of the Active Members, Individual 114 Active Members, and Life Members present at the Annual Meeting, provided that copies of the 115 proposed amendment shall have been presented in writing to the members of the Association at 116 least thirty (30) days prior to the meeting. 117 118 119 120 121 122 123 124 125 126 127 128 129 130 131 132 133 134 135 136 137 138 139 BYLAWS 140 OF THE 141 AMERICAN ASSOCIATION OF DENTAL BOARDS 142 143 Chapter I - Membership 144 145 146 Section 10. A Member Agency is a board of dentistry of any state, district, dependency or 147 province of Canada that chooses to belong and pays dues to this Association. 148 149 Section 20. A Specialty Board Member is a specialty board recognized by the American Dental 150 Association (ADA) that chooses to belong and pays dues to this Association. 151 152 Section 30. An Active Member is a person who serves on or is an administrator or board 153 attorney of a Member Agency and chooses to belong and pays dues to this Association. 154 155 Section 40. An Individual Active Member is a person who was an Active Member, no longer 156 serves on a Member Agency and chooses to belong and pays dues to this Association. 157 158 Section 50. A Life Member is a person who fulfills one of the following: 159 160 A. The person has served as President of this Association. 161 B. The person has served two two-year terms as Member-at-Large of this Association. 162 C. The person has maintained membership in this Association in some combination of Active 163 and Individual Active membership categories for at least ten consecutive years 164 immediately before applying for life membership and has reached the age of 65 by January 165 1, 1993, after which time a candidate for Life Membership will need to have reached the 166 age of 70. 167 D. The person shall have maintained some combination of Active and/or Individual Active 168 Membership for at least six consecutive years, and who shall pay a fee that the Executive 169 Council shall have the authority to set consistent with the fiscal health of the Association. 170 171 Section 60. An Affiliate Member is a person who is employed as an administrator or 172 psychometrician by a Member Agency, a regional organization composed of Member agencies, 173 or an allied dental testing agency and who does not qualify for Active, Individual Active or Life 174 Membership. 175 176 Section 70. An Associate Member is a person who is employed to examine on behalf of dental 177 boards such as a proctor, monitor or auxiliary or is an examiner for a specialty board recognized 178 by the American Dental Association (ADA), or is employed as an administrator by a Specialty 179 Board Member. 180 181 Section 80. An Educator Member is a person who serves as a full or part-time faculty member 182 of a school or program accredited by the Commission on Dental Accreditation and who does not 183 qualify for Active, Individual Active, Associate or Affiliate Membership. 184 185 186 Section 90. An Honorary Member is a person who is recognized by the membership for having 187 performed meritorious service to this Association or to dentistry. The Executive Council may 188 nominate a person to this membership for any felicitous reason. 189 190 Section 100. A Disabled/Retired Member is a person who has maintained membership in the 191 Association in some combination of Active or Individual Active Membership for at least ten 192 consecutive years, has retired due to a physical disability, and has applied for recognition as a 193 Disabled/Retired Member. 194 195 Section 110. An Associate Life Member is a person who fulfills one of the following: 196 197 A. The person has maintained membership in this Association in some combination of 198 membership categories for at least ten (10) consecutive years immediately before 199 applying for life membership and has reached the age of 70. 200 B. The person shall have maintained some combination of membership categories for at least 201 six consecutive years, and who shall pay a fee that the Executive Council shall have the 202 authority to set consistent with the fiscal health of the Association. 203 204 Section 120. An Educator Life Member is a person who fulfills one of the following: 205 206 A. The person has maintained membership in this Association in some combination of 207 membership categories for at least ten (10) consecutive years immediately before 208 applying for life membership and has reached the age of 70. 209 B. The person shall have maintained some combination of membership categories for at least 210 six consecutive years, and who shall pay a fee that the Executive Council shall have the 211 authority to set consistent with the fiscal health of the Association. 212 213 214 Chapter II - Membership Privileges 215 216 Section 10. Active, Individual Active and Life Members shall enjoy all rights and privileges of 217 this Association. 218 219 Section 20. Affiliate, Associate, Disabled/Retired, Educator, Specialty Board Examiners, and 220 Honorary Members shall enjoy all rights and privileges of this Association except those of 221 voting and holding office. 222 223 Chapter III - General Assembly 224 225 Section 10. Composition. The General Assembly of this Association shall be members with 226 voting privileges present at any Annual or other business meeting of the Association for which 227 they are properly registered. 228 229 230 231 232 Section 20. Powers. The General Assembly shall: 233 234 A. Possess the legislative powers of this Association. 235 B. Determine the policies which govern this Association. 236 C. Have power to enact, amend and repeal the Constitution and/or Bylaws of this Association. 237 D. Elect Honorary Members of this Association. 238 E. Approve all memorials and resolutions in the name of this Association. 239 240 241 Section 30. Duties. The General Assembly shall: 242 243 A. Elect the elected officers of the Association. 244 B. Elect Association representatives to serve on the ADA Council on Dental Education and 245 Licensure, the Commission on Dental Accreditation, on the Appeals Board of the ADA 246 Commission on Dental Accreditation, and on the ADA Joint Commission on National 247 Dental Examinations. 248 C. Adopt an annual budget for the Association. 249 250 251 Chapter IV - Executive Council 252 253 254 Section 10. Composition. The Executive Council: 255 256 A. The voting membership of the Executive Council shall consist of the President, 257 President-Elect, the three (3) Vice-Presidents and a Member-at-Large. Four (4) voting 258 members of the Executive Council shall constitute a quorum for the transaction of any 259 business. 260 B. The Editor of the American Association of Dental Boards shall be an advisory member of 261 the Executive Council. 262 C. An Administrator Member nominated by the American Association of Dental 263 Administrators and elected by the General Assembly shall be an advisory member of the 264 Executive Council. 265 D. A public member nominated by the state boards and recommended by the Executive 266 Council shall be an advisory member of the Executive Council. 267 268 Section 20. Powers. The Executive Council shall: 269 270 A. Be the administrative body of the Association, vested with full power to conduct all 271 business of the Association, subject to the Constitution and Bylaws. 272 B. Have the power to establish rules and regulations consistent with these Bylaws, to govern 273 its organization, procedures and conduct. 274 C. Have the power to establish ad interim policies when the General Assembly is not in 275 session and when such policies are essential to the management of the Association. 276 D. Have the power, through a majority vote and with notification to the President or 277 Executive Director, to call special meetings of the Executive Council. 278 Section 30. Duties. The Executive Council shall: 279 280 A. Provide for the maintenance and supervision of the Central Office and all property or 281 offices owned or operated by the Association. 282 B. Appoint qualified persons to the offices of Executive Director and Editor, determine the 283 extent of their duties, regulate the operation of their offices, determine their compensation 284 and have full control of all other matters pertaining to their offices. 285 C. Conduct, annually, an evaluation of the Executive Director, utilizing an acceptable 286 procedure based upon job specifications established for the position. The Executive 287 Council shall meet with the Executive Director to discuss the evaluation. 288 D. Determine the time and place for the convening of the Annual Meeting and any other 289 meetings of the General Assembly. 290 E. Determine meeting registration fees for members and non-members of the Association. 291 The Executive Council may, at its discretion, waive meeting registration fees for invited 292 guests. 293 F. Approve the program for meetings of the General Assembly. 294 G. Review applications for membership and present them, with recommendations for action, 295 to the General Assembly. 296 H. Render reports of its actions to the Association at each Annual Meeting. 297 I. Submit to the General Assembly, for approval, an annual budget. 298 J. Convene prior to the Annual Meeting of the General Assembly and, as needed, between 299 Annual Meetings. Meetings of the Executive Council shall be at times and places 300 designated by the President. Such meetings shall be open to members of the Association, 301 and, with the consent of the Executive Council, any member may be heard on matters 302 under consideration. 303 K. Review reports of representatives and committees before such reports are presented to the 304 General Assembly. The Executive Council may, at its discretion, comment on any report 305 that it reviews. 306 L. Call special meetings of the Association at its discretion, or upon receipt of a petition from 307 ten or more Member Agencies. A notice containing the purpose for a special meeting, plus 308 location and time, shall be mailed to all members at least thirty (30) days prior to said 309 meeting. 310 M. Nominate, to the General Assembly, candidates for Honorary Membership. 311 N. Designate, if able, a member of the Association as the "AADB Citizen of the Year" from 312 nominees recommended by the Award Selection Committee. 313 O. Appoint a Membership Committee to retain current members and to recruit new members. 314 It shall develop written material to be sent to all prospective members as well as form 315 letters for responding to frequently asked questions. It shall also maintain contact with 316 each state board's and regional testing agency's appointed AADB liaison person. 317 P. Have the ability to remove any representative to another dental group if they conclude with 318 just cause, that the representative is either unwilling or unable to fulfill the duties and 319 responsibilities expected of that position. 320 Q. Set fees, consistent with the fiscal health of the Association, for life membership under 321 Chapter I, Section 40, C and D. 322 323 324 Chapter V - Elected Officers 325 326 Section 10. Number and Title. Elected officers of this Association shall be eight (8) in 327 number: President, President-Elect, 1st, 2nd, 3rd Vice-Presidents, Member-at-Large, 328 Administrator member, and public member. 329 330 Section 20. Eligibility. Only Active, Individual Active and Life Members shall be eligible to 331 serve as elected officers. 332 333 Section 30. Nominations. Nominations for President-Elect, 1st, 2nd, and 3rd Vice-Presidents 334 shall be presented by the Nominating Committee and the nominations for the Member-at-Large 335 and public member shall be from the floor of the General Assembly at the second meeting of the 336 Annual Session. Nominations for the administrator member shall come from the American 337 Association of Dental Administrators. Additional nominations from the floor shall be accepted. 338 339 Section 40. Elections. The elected officers shall be elected by the General Assembly at the last 340 session of an Annual Session. If there is more than one nomination for any office, election shall 341 be by secret ballot. The candidate receiving the majority of the votes shall be declared the 342 elected officer. 343 344 Section 50. Tenure of Office. The elected officers (other than the Member-at-Large and the 345 public member) shall serve for a term of one (1) year or until their successors are elected and 346 installed. No elected officer shall serve more than five (5) consecutive terms as an elected 347 officer. No one in the office of 1st, 2nd or 3rd Vice-President may remain in that office for more 348 than one year. The Member-at-Large shall serve no more than two (2) two year terms 349 and the public member shall serve no more than two (2) one-year terms. 350 351 Section 60. Installation. The elected officers shall be installed at the close of the Annual 352 Meeting of the General Assembly. The President-Elect shall be installed as President at the next 353 Annual Meeting following election. The new officers shall be installed by the retiring President 354 or by some other person whom the retiring President designates. 355 356 Section 70. Distribution. The President-Elect and the three Vice-Presidents shall be from the 357 East, West, North and South; one being elected from each of these four sections. The Member358 at-Large shall be elected from the floor of the General Assembly. The sections include the 359 States, the District of Columbia, Puerto Rico, the Virgin Islands and are divided as follows: 360 361 East West North South 362 Connecticut Alaska Illinois Alabama 363 Delaware Arizona Indiana Arkansas 364 District of Columbia California Iowa Florida 365 Maine Colorado Kansas Georgia 366 Maryland Hawaii Michigan Kentucky 367 Massachusetts Idaho Minnesota Louisiana 368 New Hampshire Montana Missouri Mississippi 369 New Jersey Nevada Nebraska North Carolina 370 New York New Mexico North Dakota Puerto Rico 371 Pennsylvania Oregon Ohio South Carolina 372 Rhode Island Utah Oklahoma Tennessee 373 Vermont Washington South Dakota Texas 374 West Virginia Wyoming Wisconsin Virginia 375 Virgin Islands 376 377 Section 80. Duties. 378 379 A. President. The President shall: 380 381 a. Preside at all meetings of the General Assembly and the Executive Council 382 preserving order and decorum and enforcing rules of the Association. 383 b. Have watchful supervision over the Association. 384 c. Serve as an ex-officio member of all committees. 385 d. Call special meetings of the General Assembly as provided for in these Bylaws. 386 e. Call meetings of the Executive Council as needed or upon the request of the majority 387 of members. 388 f. Appoint all committees, subject to approval of the Executive Council, unless 389 otherwise provided in these Bylaws. 390 g. Deliver an address to the General Assembly at the Annual Meeting. 391 h. Cast the deciding vote in case of tie in either the General Assembly or Executive 392 Council. 393 i. Serve, or designate a qualified member to serve, as the official representative of the 394 Association in contacts with governmental, civic, business and professional 395 organizations. 396 j. Enter into contracts in the name of the Association, upon authorization by the 397 Executive Council. At least one other officer must also sign any contract. 398 k. Perform such other duties as custom and parliamentary procedure require. 399 l. Appoint, with the consent of the Executive Council, a replacement representative to 400 another group to fulfill the remainder of that term, from which a representative has 401 been removed. 402 m. Appoint a Parliamentarian. 403 n. Serve as the Association representative on the Board of Directors of the American 404 Board of Dental Examiners or assist the Executive Council in approving a designee 405 to serve as this representative. 406 407 B. President-Elect. The President-Elect shall: 408 409 a. Serve on the Executive Council and as an ex-officio member of all committees. 410 b. Assist the President at the President's request. 411 c. Advance to the office of President should that office become vacant between Annual 412 Meetings. 413 d. Be installed as President at the next Annual Meeting following his election. 414 415 416 C. Vice-President. From highest to lowest, Vice-Presidents rank in the following order: 1st, 417 2nd and 3rd. Duties for Vice-Presidents follow: 418 419 a. Vice-Presidents shall serve as members of the Executive Council. 420 b. Vice-Presidents shall assist the President at the President's request. 421 c. If vacancy occurs in the office of President-Elect between Annual Meetings, such 422 vacancy shall be filled by the ranking Vice-President. 423 d. If vacancy occurs in the office of 1st or 2nd Vice-President between Annual 424 Meetings, such vacancy shall be filled by the next ranking Vice-President. 425 e. If vacancy occurs in the office of the 3rd Vice-President between Annual Meetings, 426 the President shall appoint a nominating committee from the Section no longer 427 represented by a Vice-President or President-Elect and charge this committee with 428 identifying three candidates from its Section. The President, with the approval of the 429 Executive Council, shall select one of the three candidates to fill the office of 3rd 430 Vice President. 431 432 D. Member-at-Large. The Member-at-Large shall: 433 434 a. Be a dental hygienist. 435 b. Serve as a member of the Program Committee. 436 c. Serve as a member of the Membership Committee. 437 d. If vacancy occurs in the unexpired office of the Member-at-Large 438 between Annual Meetings, the President shall request the Nominating 439 Committee to identify three candidates. The President, with the approval 440 of the Executive Council, shall select one of the three candidates to fill 441 the office of Member-at-Large. 442 e. Not ascend to the other offices on the Executive Council by virtue of 443 being Member-at-Large. 444 445 E. Administrator Member. 446 447 Section 10. Number and Title. One (1) administrator shall be elected as the Administrator 448 Member to serve as an advisor to the Executive Council. 449 450 Section 20. Eligibility. Only a dues paying member of both the American Association of 451 Dental Administrators and the American Association of Dental Boards shall be eligible to serve 452 as the Administrator Member. 453 454 Section 30. Nomination. The nomination of the Administrator Member shall come from the 455 American Association of Dental Administrators. Additional nominations from the floor shall be 456 accepted provided that any additional nominee is deemed to be both a member of the American 457 Association of Dental Administrators and the American Association of Dental Boards. 458 459 460 461 462 Section 40. Election. The Administrator Member shall be elected by the General Assembly at 463 the last session of an Annual Session. If there is more than one nomination, election shall be by 464 secret ballot. The candidate receiving the majority of the votes shall be declared the 465 Administrator Member. 466 467 Section 50. Tenure of Office. The Administrator Member shall serve for a term of one (1) year 468 or until his or her successor is elected and installed. 469 470 Section 60. Installation. The Administrator Member shall be installed at the close of the 471 Annual Meeting of the General Assembly. 472 473 Section 70. Duties. The Administrator Member shall: 474 475 A. Serve as a member of the Program Committee. 476 B. Serve as a member of the Membership Committee. 477 C. Serve as a member of the Sponsor Committee. 478 D. Serve as Chair of the Administrators’ Committee. 479 E. If vacancy occurs in the unexpired term of the Administrator Member between 480 Annual Meetings, the President shall appoint, after consultation with the 481 President of the American Association of Dental Administrators and with the 482 consent of the Executive Council, an administrator to serve the unexpired term 483 of the Administrator Member. 484 485 F. Public Member 486 487 Section 10. Number and Title. One (1) board public member shall be elected as the Public 488 Member to serve as an advisor without vote to the Executive Council. 489 490 Section 20. Eligibility, Only a dues paying public member of the American Association of 491 Dental Boards shall be eligible to serve as the Public Member. 492 493 Section 30. Nomination. The nomination process for an advisory public member to the 494 Executive Council shall be: nominations from state boards for past and present public members; 495 CVs or biographies to be forwarded to the Executive Council forty-five days before the Annual 496 Meeting; Executive Council shall review and forward its recommendation to the General 497 Assembly; and nominations for public members from the floor shall be allowed but must have 498 been prequalified as were the other applicants. 499 500 Section 40. Election. The Public Member shall be elected by the General Assembly at the last 501 session of an Annual Meeting. If there is more than one nomination, election shall be by secret 502 ballot. The candidate receiving the majority of the votes shall be declared the Public Member. 503 504 Section 50. Tenure of Office. The Public Member shall serve for no more than two (2) terms of 505 one (1) year each or until his or her successor is elected and installed. 506 507 508 Section 60. Installation. The Public Member shall be installed at the close of the Annual 509 Meeting of the General Assembly. 510 511 Section 70. Duties. The Public Member shall: 512 513 A. Serve as a member of the Membership Committee. 514 B. Serve as a member of the Sponsor Committee 515 C. Advise the Executive Council on all matters, as requested, without vote. 516 517 Section 71. Vacancy. If a vacancy occurs in the unexpired term of the Public Member between 518 Annual Meetings, the President shall appoint, with the consent of the Executive Council, a 519 public member to serve the unexpired term of the Public Member. 520 521 522 Chapter VI - Appointed Officers 523 524 Section 10. Number and Title. Appointed officers of this Association shall be two (2) in 525 number: Executive Director and Editor. 526 527 Section 20. Appointment. The Executive Director and the Editor shall be appointed by the 528 Executive Council. 529 530 Section 30. Tenure of Office. Appointed officers shall serve for a term established by the 531 Executive Council; however, the term of an appointed officer shall not exceed three (3) years. 532 Appointed officers are eligible to be reappointed for consecutive terms without limit. 533 534 Section 40. Executive Director. The Executive Director shall: 535 536 A. Serve as Executive Director of the Central Office and any branch offices. 537 B. Attend meetings of the General Assembly and the Executive Council. 538 C. Keep and publish minutes of meetings of the General Assembly and the Executive 539 Council. 540 D. Be custodian of all records, books, papers and funds belonging to the Association. 541 E. Conduct correspondence on behalf of the Association including sending notification of 542 meetings, notifying officers of their election and notifying committee members of their 543 appointments and duties. 544 F. Keep a record of all members and guests present at each meeting of the General Assembly. 545 G. Charge, upon the books of the Association, the dues of all Member Agencies and other 546 dues-paying members. 547 H. Demand and receive all funds due the Association including bequests and donations. 548 I. Act as custodian for all monies, securities and deeds belonging to this Association and 549 hold, invest, distribute or convey such funds or instruments, in the name of the Associa550 tion, at the direction of the Executive Council or the General Assembly. All disbursements 551 shall be made by check signed by the Executive Director or the President. 552 J. Submit all financial records to the Executive Council or its auditor at the request of the 553 Executive Council. 554 555 K. Render a written report of the Association's financial position thirty (30) days before the 556 Annual Meeting. 557 L. Maintain up-to-date copies of the Constitution and of the Bylaws. 558 M. Provide general publicity for meetings of the General Assembly and other important 559 activities of the Association. 560 N. Coordinate and support activities of all committees of the Association. 561 O. Report activities of the Central Office during meetings of the Executive Council. 562 P. Employ such persons as are necessary for the orderly operation of the Central Office 563 subject to restrictions in budget adopted by the General Assembly. 564 Q. Draft an annual budget for consideration by the Executive Council and approval by the 565 General Assembly. 566 R. Circulate notice of any meeting of the Executive Council called by the President or 567 requested by a majority of members of the Executive Council. Notice shall be circulated at 568 least twenty-one (21) days in advance of the meeting. 569 S. Present to the Executive Council an Annual Report of the status of the Association, 570 outlining accomplishments and making recommendations for the advancement of 571 objectives of the Association. 572 T. Perform such other duties as are prescribed by the Executive Council. 573 574 Section 50. Editor. The Editor shall: 575 576 A. Serve as editor-in-chief of all journals of this Association and exercise full editorial control 577 over such publications subject only to the policies established by the Executive Council 578 and to these Bylaws. 579 B. Perform such other duties as are prescribed by the Executive Council. 580 581 582 Chapter VII - Standing Committees 583 584 Section 10. Names. Standing Committees of this Association shall be the Program Committee, 585 the Constitution and Bylaws Committee, the Nominating Committee, the Award Selection 586 Committee, the Membership Committee, the Sponsor Committee and the Administrators' 587 Committee. 588 589 Section 20. Duties. 590 591 A. The Program Committee shall be responsible for the program and other arrangements for 592 the Annual Meeting and other meetings of the Association. For each meeting, the Program 593 Committee shall appoint a Registration Committee and may appoint a Local Arrangements 594 Committee to offer assistance. The Local Arrangements Committee shall report to the 595 Program Committee. The Registration Committee shall help the Program Committee by 596 overseeing the registration of attendees at the AADB Annual and Mid-Year Meetings. 597 B. The Constitution and Bylaws Committee shall continually review and recommend changes 598 to the Constitution and Bylaws in order to keep them current with the Association’s 599 program. The Constitution and Bylaws Committee shall also review changes proposed by 600 others for appropriateness of wording. 601 C. The Nominating Committee shall meet immediately after the first session of the Annual 602 Meeting with members of the four sections for the purpose of selecting nominees for 603 Association offices. Nominations shall be made in accordance with these Bylaws. The 604 chairman of the Nominating Committee or the chairman's designee shall present a list of 605 nominees during the second session of the Annual Meeting. 606 D. The Award Selection Committee shall make recommendations to the Executive Council of 607 the Association to be considered for the "AADB Citizen of the Year" Award to be 608 presented at the Annual Meeting. The criteria for determining who shall be nominated to 609 receive this award will be outlined in a Committee Manual. 610 E. The Sponsor Committee shall be responsible for securing AADB corporate sponsors and 611 promoting them to the AADB membership. 612 F. The Membership Committee shall be responsible for contacting and promoting 613 membership in the AADB with present and past members of all state boards of dentistry 614 and members of all regional testing agencies. 615 G The Administrators' Committee shall make recommendations to the Program Committee 616 for the Annual Meeting, and other meetings of the Association, and make recommenda617 tions to the Executive Council on administrative needs. 618 619 Section 30. Reporting. Each standing committee shall report to the General Assembly at the 620 Annual Meeting. The Constitution and Bylaws Committee and the Program Committee shall 621 submit written reports to the Executive Director at least forty-five (45) days before the Annual 622 Meeting. The Nominating Committee may report orally. Matters that require action by the 623 General Assembly shall be presented in reports, in resolution form. 624 625 Section 40. Composition and Appointments. 626 627 A. Standing Committees, except as otherwise provided for in these Bylaws, shall be 628 composed of not less than three, nor more than five, Active, Individual Active, Life or 629 Affiliate Members of this Association. No more than one Affiliate Member may serve on 630 a Standing Committee. 631 B. The Nominating Committee shall be composed of five Active, Individual Active and Life 632 Members. The committee shall have at least one member from each section and a hygiene 633 member. The chair shall be appointed by the President. 634 C. Terms of members of a standing committee shall end with the close of the Annual 635 Meeting. Members, however, may be reappointed up to a maximum of five years to the 636 same standing committee. 637 D. Members of standing committees shall be appointed by the President with the approval of 638 the Executive Council and subject to the following restrictions: 639 1. At least one member of the Constitution and Bylaws Committee and the Program 640 Committee shall be a carryover from the previous year. 641 2. At least one new member shall be appointed to each standing committee each year. 642 643 3. No individual may serve on two standing committees concurrently unless otherwise 644 stated in the Bylaws. 645 646 647 Section 50. Vacancy. In the event of a vacancy in the membership of any standing committee, 648 the President shall appoint a qualified person to fill the vacancy for the remainder of the 649 unexpired term. 650 651 Section 60. Quorum. The majority of the members of a standing committee shall constitute a 652 quorum for the transaction of business. 653 654 Section 70. Expenses. A standing committee shall not incur expenses without authorization of 655 the Executive Council. 656 657 658 Chapter VIII - Special Committees 659 660 Section 10. Identification and Duties. A special committee may be created at any time by the 661 General Assembly or the Executive Council. The body that creates a special committee shall be 662 responsible for describing the duties of that special committee. 663 664 Section 20. Reporting. A special committee shall report annually to either the General 665 Assembly or the Executive Council. If created by the General Assembly, the special committee 666 shall report to the General Assembly. If created by the Executive Council, the special committee 667 may report to either the General Assembly or the Executive Council. If the special committee 668 reports only to the General Assembly, the report shall be provided to the Executive Council for 669 comment prior to presentation to the General Assembly. 670 671 Section 30. Composition and Appointments. 672 673 A. Special committees shall be composed of not fewer than three members. 674 B. A special committee, unless renewed by either the General Assembly or the Executive 675 Council, shall terminate its activities at the close of the Annual Meeting. 676 C. If a special committee is mandated by the General Assembly, the General Assembly may, 677 at its discretion, select its membership. If the General Assembly does not select members 678 for a special committee it mandates, or if the special committee is created by the Executive 679 Council, the President, with the approval of the Executive Council, shall appoint its 680 members. No individual, however, may serve concurrently on two special committees. 681 682 Section 40. Quorum. The majority of members of a special committee shall constitute a 683 quorum for the transaction of business. 684 685 Section 50. Expenses. A special committee shall not incur expenses without authorization of 686 the Executive Council. 687 688 689 690 691 692 693 Chapter IX - Representation on the American Board of Dental Examiners (ADEX) 694 695 Section 10. ADEX Board of Directors. The President shall serve as a member on the ADEX 696 Board of Directors in accordance with the ADEX Articles of Incorporation and Bylaws. The 697 Executive Council shall select an elected member of the Executive Council or a designee 698 approved by the General Assembly if the President is unable to serve in this capacity. 699 700 Section 20. ADEX House of Representatives. Up to four (4) Active, Individual Active or Life 701 Members, each from a different section of the Association, chosen by each respective section 702 and one (1) Member-at-Large chosen by the General Assembly shall serve as representatives to 703 the ADEX House of Representatives in accordance with the ADEX Articles of Incorporation and 704 Bylaws and shall serve one-year terms provided that no representative shall serve more than 705 three (3) consecutive one-year terms. 706 707 708 Chapter X- Representatives to Other Dental Groups 709 710 Section 10. Identification. The Association shall appoint representatives to the ADA Council 711 on Dental Education and Licensure, Commission on Dental Accreditation, the Appeals Board of 712 the ADA Commission on Dental Accreditation and the ADA Joint Commission on National 713 Dental Examinations. The number of representatives to be appointed and their terms shall corre714 spond to definitions in the ADA Bylaws. 715 716 Section 20. Appointment Procedures. When a vacancy is available on either the ADA 717 Council on Dental Education and Licensure, Commission on Dental Accreditation, the Appeals 718 Board of the ADA Commission on Dental Accreditation, or the ADA Joint Commission on 719 National Dental Examinations, the President, with approval of the Executive Council, shall 720 nominate an Association representative. Nominations from the General Assembly shall also be 721 accepted. All nominees, however, must be Active, Individual Active or Life Members of this 722 Association. The General Assembly shall elect the representatives of the Association. 723 724 Section 30. Duties and Reporting. Representatives to any other groups shall be expected to 725 maintain good attendance and service at their designated meetings, and they shall attend a 726 minimum of one AADB meeting each year, and attend a minimum of one Annual AADB 727 meeting every two years. Representatives to the ADA Council on Dental Education and 728 Licensure, Commission on Dental Accreditation and the ADA Joint Commission on National 729 Dental Examinations shall report as a committee to the General Assembly during the Annual 730 Meeting. The representative on the ADA Appeals Board of the Commission on Dental 731 Accreditation may report, within prescribed limits of confidentiality, but is not required to do so. 732 Representatives to other groups shall report orally or by written report to the Executive Council 733 annually, or may report to the General Assembly as requested. 734 735 Section 40. Other Appointments. Nothing in this chapter shall be interpreted to prohibit the 736 President, with the approval of the Executive Council, from making appointments to appropriate 737 organizations other than those specified, as may, from time to time, be required. 738 739 Chapter XI- Dues 740 741 Section 10. The annual dues of each Member Agency shall be no more than $2,200.00 and due 742 July 1st of each year. 743 744 Section 20. The annual dues of a Specialty Board Member shall be no more than $2,200.00 and 745 due July 1st of each year. 746 747 Section 30. The annual dues of Active and Individual Active Members shall be no more than 748 $350.00 and the first year's dues are payable July 1st following the meeting at which they 749 become such members. Associate and Educator Members' annual dues shall be $150.00. 750 751 Section 40. Life, Affiliate and Honorary Members shall not be subject to payment of dues. 752 753 Section 50. Any Member or Member Agency whose dues remain unpaid for one year shall be 754 dropped from membership after proper notification by certified mail, from the Executive 755 Director and review by the Executive Council. 756 757 Section 60. Any Member or Member Agency which has been dropped for non-payment of dues 758 shall be eligible for re-election to membership upon payment of current dues plus one year's dues 759 for which it was in arrears. 760 761 Section 70. Any Member or Member Agency in good standing, and who is not arrears in dues, 762 may honorably resign from the Association. Upon application for re-election to membership, 763 any Member or Member Agency may be reinstated upon payment of the current year's dues. 764 765 Chapter XII- Order of Business 766 767 Section 10. Annual Meeting. The order of business at the Annual Meeting shall be as follows: 768 769 A. Call to order 770 B. Invocation 771 C. Preliminary Report of Committee on Registration-Declaration by President of Quorum 772 D. Introduction of Distinguished Guests and New Members 773 E. Approval of the Minutes 774 F. Report of Nominating Committee 779 K. Reports of Representatives 780 L. Unfinished Business 781 M. New Business 782 N. Final Report of Registration 783 O. Election and Installation of Officers 784 P. Adjournment 785 Section 20. Special Meetings. The business at a Special Meeting of this Association shall be 786 confined to the specific objectives for which the meeting is called and of which the general 787 membership is notified as provided in these Bylaws. 788 789 Section 30. Altering Order. The order of business at any meeting may be altered or suspended 790 by a three-fourths (3/4) majority vote. 791 792 793 Chapter XIII- Rules of Order 794 795 Section 10. Resolutions. Proposed policy statements or actions shall be presented to the 796 General Assembly in the form of resolutions. A written copy of any proposed resolution shall be 797 furnished to the Executive Director for inclusion in the minutes. If possible, resolutions should 798 be referred to the Executive Council for comment prior to their presentation to the General 799 Assembly for action. 800 801 Section 20. Floor Privilege. No Member shall speak longer than 10 minutes upon any subject 802 until all present have had an opportunity to express themselves, and no Member shall speak more 803 than twice on the same subject except by permission of the General Assembly. 804 805 Section 30. Additional Rules. The rules contained in the current edition of The Standard Code 806 of Parliamentary Procedure shall govern the deliberations of this Association in all cases in 807 which they are applicable and not in conflict with the Constitution and Bylaws and Standing 808 Rules of Order. 809 810 811 Chapter XIV - Fiscal Year 812 813 The fiscal year of this Association shall be from July 1 to June 30 inclusive. 814 815 Chapter XV - Membership Applications and Membership Changes 816 817 Section 10. Applications for membership shall be submitted to the Executive Director thirty 818 (30) days prior to the Annual Meeting. Following approval by the Executive Council, the 819 application shall be presented to the General Assembly for consideration. 820 821 Section 20. An Active Member in good standing shall automatically become an Individual 822 Active Member upon completion of service on a Member Agency. 823 824 Chapter XVI - Indemnification 825 826 The Association shall indemnify and hold harmless each officer and each member of a 827 committee, now or hereafter serving the Association, from and against any and all claims and 828 liabilities to which the person may be or become subject, by reason of now or hereafter, being, or 829 having heretofore been, an officer and/or a member of a committee of the Association, and/or by 830 reason of alleged acts or omissions as an officer and/or a member of a committee as aforesaid, 831 and shall reimburse each officer and/or committee member of the Association for all legal and 832 other expenses reasonably incurred in connection with defending such claims or liabilities 833 provided, however, that no officer or committee member shall be indemnified or reimbursed for 834 any expense arising out of the officer's or committee member's own negligence or willful 835 misconduct. The foregoing rights of officers and members of committees shall not be exclusive 836 of other rights to which they may be entitled lawfully. 837 838 839 Chapter XVII - Amendments 840 841 Section 10. The Bylaws may be amended by a two-thirds vote of the Active, Individual Active, 842 and Life Members present at an Annual Meeting, provided copies of the proposed amendment 843 shall have been presented in writing to the voting members of the Association at least thirty (30) 844 days prior to the meeting. 845 Section 30. An amendment to the Bylaws effecting a change in dues shall not be enacted upon 846 at the Annual Meeting at which introduced, except by unanimous consent unless the amendment 847 has been circulated to the membership thirty (30) days prior to the Annual Meeting. 848 849 Section 40.
